By accessing, browsing or using the GlobalQMS.in website (the "Website"), or by engaging GlobalQMS.in for any consultancy, documentation, training or advisory service (the "Services"), you confirm that you have read, understood and agree to be bound by these Terms & Conditions, together with our Privacy Policy, Disclaimer and Refund Policy, which are incorporated into these terms by reference.

If you are entering into these terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity, and "you" shall refer to that entity.

If you do not agree to these terms, you must not use the Website or our Services.

In these Terms & Conditions, unless the context requires otherwise:

• "GlobalQMS.in", "we", "us" or "our" refers to GlobalQMS.in, with its registered office at Bishnupur, Hojai, Assam – 782435, India.
• "Client", "you" or "your" refers to any individual or entity accessing the Website or engaging our Services.
• "Services" means ISO consultancy, documentation support, gap assessment, training, internal audit support, certification assistance, management system guidance and any related advisory work provided by GlobalQMS.in.
• "Certification Body" means an independent, accredited third-party organization that issues ISO certificates. GlobalQMS.in is not a certification body.
• "ISO Standard" means any standard published by the International Organization for Standardization (ISO) or its national equivalents, including but not limited to ISO 9001, ISO 14001, ISO 45001, ISO/IEC 27001, ISO 22000 and ISO 13485.
• "Content" means all text, graphics, documents, templates, guides, images, videos and other materials made available on the Website or provided as part of the Services.

GlobalQMS.in provides consultancy and advisory services related to ISO management system standards. Our role is to help organizations understand ISO requirements, prepare documentation, implement systems and prepare for certification audits.

GlobalQMS.in is not a certification body. We do not issue ISO certificates, and we do not conduct certification audits. Certification is issued solely by independent, accredited certification bodies, and any decision on certification rests entirely with them.

The specific scope, deliverables, timeline and fees for any engagement will be confirmed in a separate written proposal, quotation or agreement between you and GlobalQMS.in. In the event of any conflict between these Terms and a signed proposal, the signed proposal shall prevail for that engagement.

While we make every reasonable effort to help our Clients prepare effectively for certification, GlobalQMS.in does not and cannot guarantee that you will obtain ISO certification. Certification depends on factors outside our control, including:

• The independent judgment of the certification body and its auditors;
• The accuracy and completeness of information and records you provide;
• The extent to which your organization actually implements the management system;
• Your organization's compliance with applicable legal and regulatory requirements;
• Changes to ISO standards or certification body requirements;
• Your organization's cooperation and timely provision of resources.

Any timelines we provide are estimates based on typical engagements and do not constitute a commitment to a specific certification date. Delays caused by your organization's actions or omissions are outside our responsibility.

To enable us to provide our Services effectively, you agree to:

• Provide accurate, complete and timely information, documents and access required for the engagement;
• Nominate an appropriate internal point of contact with authority to make decisions on behalf of your organization;
• Ensure that key personnel are available for meetings, training and interviews as reasonably required;
• Implement agreed actions and provide the resources necessary for the management system to function;
• Comply with all applicable laws, regulations and standards relevant to your organization;
• Not misrepresent our role, or use our name, brand or materials in a misleading manner;
• Not claim to be "certified by GlobalQMS.in" — certification is issued only by accredited certification bodies.

If you fail to meet these obligations, we reserve the right to suspend or terminate the engagement. Fees for work already performed remain payable.

Our fees for consultancy and advisory services are as set out in the written proposal or quotation provided to you. Unless stated otherwise:

• Fees are exclusive of applicable taxes (including GST), which will be added at the prevailing rate;
• Certification body audit fees, accreditation fees, government fees and third-party costs are not included in our consultancy fees and are payable directly by you to those bodies;
• Payment terms, milestones and any advance amounts are specified in the proposal or invoice;
• Invoices are payable within the period stated on the invoice (typically 15 days from the date of issue);
• We reserve the right to charge interest on overdue amounts at 1.5% per month or the maximum permitted by law, whichever is lower;
• We may suspend work on any engagement where payment is overdue.

Refunds (if any) are governed by our Refund Policy.

All content on this Website — including text, graphics, logos, icons, images, downloadable guides, checklists, templates, design and layout — is the property of GlobalQMS.in or its content suppliers and is protected by applicable copyright, trademark and other intellectual property laws.

You may:

• View, download and print pages from this Website for your own internal, non-commercial use;
• Use free resources (such as guides, checklists and templates) within your own organization for the purpose for which they were provided.

You may not, without our prior written consent:

• Reproduce, republish, sell, rent, sub-license or redistribute any content from this Website;
• Modify, edit or create derivative works from our content;
• Use our content for commercial purposes, including in paid consultancy or training materials;
• Remove or obscure any copyright, trademark or proprietary notices.

All intellectual property rights in documents and materials specifically created for you under an engagement (such as your organization's customized manual or procedures) shall, upon full payment of the applicable fees, vest in your organization. The underlying methodologies, templates, know-how and generic frameworks remain the property of GlobalQMS.in.

"ISO" is a registered trademark of the International Organization for Standardization. We are not affiliated with, endorsed by or acting as an agent of ISO.

Each party agrees to keep confidential any non-public information of the other party that is disclosed in the course of the engagement ("Confidential Information"), and to use such information solely for the purposes of the engagement.

This obligation does not apply to information that:

• Is or becomes publicly available through no fault of the receiving party;
• Was already in the receiving party's possession without a duty of confidence;
• Is independently developed without reference to the disclosing party's information;
• Is required to be disclosed by law, regulation or court order.

We treat your business information, documentation and records with care. Details of how we handle personal data are set out in our Privacy Policy.

You agree to use this Website only for lawful purposes. In particular, you must not:

• Attempt to gain unauthorized access to any part of the Website, its servers or any systems connected to it;
• Introduce viruses, malware, trojans or any other harmful code;

To the maximum extent permitted by applicable law, GlobalQMS.in, its directors, employees, consultants and agents shall not be liable for any:

• Indirect, incidental, special, consequential or punitive damages;
• Loss of profits, revenue, business, contracts, customers or anticipated savings;
• Loss of data, goodwill or reputation;
• Business interruption;
• Loss arising from any decision made in reliance on information provided on this Website or in our resources.

Our total aggregate liability arising out of or in connection with any engagement shall not exceed the total fees actually paid by you to GlobalQMS.in for the specific engagement giving rise to the claim.

Nothing in these terms excludes or limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot lawfully be excluded.

Either party may terminate an engagement in accordance with the notice provisions set out in the applicable proposal or agreement. In the absence of specific provisions, either party may terminate with 15 days' written notice.

We may suspend or terminate our Services immediately, without notice, if:

• You breach a material term of these Terms & Conditions or an engagement agreement;
• You fail to pay undisputed invoices when due;
• You engage in unlawful, fraudulent or unethical conduct;
• Continuing the engagement would require us to act in a manner that is unlawful or professionally inappropriate.

Upon termination, any fees for work already performed become immediately payable, and the relevant provisions of these Terms (including confidentiality, intellectual property, limitation of liability and indemnification) shall survive.

These Terms & Conditions and any dispute or claim arising out of or in connection with them shall be governed by and construed in accordance with the laws of India.

The courts at Hojai, Assam, India shall have exclusive jurisdiction over any dispute arising out of or in connection with these terms or our Services, subject to any right of appeal.

Before initiating formal proceedings, both parties agree to attempt in good faith to resolve any dispute through amicable discussion. Either party may initiate such discussion by giving written notice of the dispute to the other party. If the dispute is not resolved within 30 days of such notice, either party may proceed to formal resolution.

We may update these Terms & Conditions from time to time to reflect changes in our practices, services or legal requirements. When we make material changes, we will update the "Last updated" date at the top of this page.

Your continued use of the Website or our Services after any changes take effect constitutes acceptance of the revised terms. We encourage you to review this page periodically.

For ongoing engagements, the version of these terms in effect at the time the engagement commenced shall continue to apply to that engagement, unless we agree otherwise in writing.
